1. The Program
The Program allows approved individuals, agencies, and resellers to refer prospects to Awenox in exchange for recurring commissions and access to partner-exclusive resources, including the Marketing Hub and co-marketing support.
2. Eligibility & approval
Partner must be at least 18 years old, legally able to enter contracts, and in good standing in their jurisdiction. Awenox approves applications at its sole discretion and may revoke approval at any time for cause (see section 9).
Awenox employees, contractors, and their immediate family members are not eligible.
3. Partner responsibilities
Partner agrees to:
- Promote Awenox truthfully and in line with the brand guidelines provided in the Marketing Hub.
- Comply with all applicable laws, including anti-spam (CAN-SPAM, CASL, GDPR, PECR) and consumer-protection regulations.
- Disclose the partner relationship clearly when required (e.g. FTC endorsement guides in the US).
- Not bid on Awenox-branded keywords in paid search, run misleading creatives, or run cookie-stuffing schemes.
- Not represent Partner as an employee or agent of Awenox.
4. Referral attribution
A referral is attributed to Partner when:
- A prospect signs up using Partner's unique referral link within a 60-day cookie window from first click; or
- A prospect applies Partner's coupon code at checkout.
Last-click attribution applies — if a prospect clicks two partner links, the most recent one wins. Self-referrals and referrals between sibling entities under common control are ineligible. Awenox's tracking system is the sole authoritative source of attribution.
5. Commission eligibility
Commissions are earned only when:
- The referred customer becomes a paying subscriber (free trials and free accounts do not generate commissions).
- The customer remains active and current on payments.
- The customer has not been refunded or charged back within the chargeback-reversal window described in section 6.

6. Payouts
Commissions accrue daily and are paid monthly on the 10th of the following month, provided Partner's balance exceeds US$50. Below the threshold, balances roll forward. Payouts are made via Stripe Connect (preferred) or PayPal.
Commissions on subscriptions that are refunded, charged back, or cancelled within 30 days of signup are reversed from Partner's balance. Partner is responsible for all taxes on commissions received and for providing accurate tax documentation (W-9, W-8BEN, or equivalent) before the first payout.
7. Fraud prevention
The following are strictly prohibited and may result in withheld payouts and termination:
- Creating accounts on behalf of customers to collect commissions.
- Using stolen, paid, or incentivized clicks (paid-to-click, bots, traffic farms).
- Misleading or impersonating Awenox in advertising or outreach.
- Spam outreach (unsolicited bulk email, SMS, or DMs).
- Coordinated activity between partners designed to inflate tier thresholds.
Awenox may pause payouts during investigation. Confirmed fraud forfeits the entire balance and any earned tier benefits.
8. Confidentiality
Partner will receive access to non-public information about Awenox products, roadmap, and customers. Partner agrees to keep this information confidential and to use it only to fulfill obligations under this Agreement, both during and for 3 years after termination.
9. Suspension & termination
Either party may terminate this Agreement at any time with 30 days' notice. Awenox may suspend or terminate immediately for:
- Breach of this Agreement or our Terms of Service.
- Fraudulent activity, including the practices in section 7.
- Bringing the Awenox brand into disrepute.
- Inactivity for 12 consecutive months (no active referrals).
On termination, Partner's referral link is disabled. Earned, unpaid commissions on customers in good standing remain payable per section 6, less any fraud-related reversals.
10. Modifications
Awenox may update this Agreement, the Commission Policy, and the Program rules with 30 days' notice. Continued participation after the effective date constitutes acceptance of the updated terms.
