Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Awenox platform and related services (the "Service"). The legal entity providing the Service ("we", "us"), its registered address, and our official contacts are listed in the Operator & legal contacts section below. By creating an account or using the Service, you agree to these Terms.

1. Accounts & eligibility

You must be at least 18 years old and able to enter into binding contracts to use the Service. You are responsible for all activity that occurs under your account, including the actions of teammates you invite.

Keep your credentials confidential. Notify us immediately at security@awenox.com if you suspect unauthorized access.

2. User responsibilities & acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk messages, spam, or content that violates anti-spam laws (CAN-SPAM, CASL, TCPA, PECR).
  • Harass, defame, or impersonate any person or entity.
  • Upload malicious code, attempt to breach security, or interfere with the Service's operation.
  • Reverse engineer, scrape, or resell the Service without our written permission.
  • Use the Service for any unlawful, fraudulent, or deceptive purpose.

You are solely responsible for obtaining all necessary consents from your contacts before sending messages through the Service.

3. Billing & subscriptions

Paid plans are billed in advance, on a monthly or annual cycle, in the currency you select at checkout. Subscriptions renew automatically until cancelled.

  • Prices exclude taxes; VAT, GST, and sales tax are added where applicable.
  • Plan upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal.
  • Failed payments trigger a 14-day grace period. After that, the workspace is downgraded to read-only access.

4. Refunds

We offer a no-questions-asked refund of the unused portion of any annual subscription within 30 days of the initial purchase or renewal. Monthly plans are non-refundable but can be cancelled at any time to prevent the next charge. To request a refund, email billing@awenox.com.

5. Account termination

You may cancel your subscription at any time from Settings → Billing. Cancellation stops future billing and ends paid access at the end of the current cycle.

We may suspend or terminate your account immediately if we believe you have materially breached these Terms, including for fraud, abuse, security violations, or non-payment after the grace period. Upon termination, you may export your data for 30 days; after that, it is permanently deleted.

6. Intellectual property

You retain all rights to the customer content you upload to the Service. You grant Awenox a worldwide, royalty-free, non-exclusive license to host, process, and display that content solely to operate the Service on your behalf.

Awenox retains all rights to the Service, including the software, design, trademarks, and documentation. Feedback you provide is non-confidential and may be used by us without restriction.

7. Warranties & disclaimers

The Service is provided on an "as-is" and "as-available" basis. We disclaim all implied warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. We target 99.9% monthly uptime; details are in our Service Level Agreement, available on request.

8. Limitation of liability

To the maximum extent permitted by law, Awenox's total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) US$100. We are not liable for indirect, incidental, consequential, special, or punitive damages.

9. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved by binding arbitration in Wilmington, Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction.

10. Changes to these Terms

We may update these Terms from time to time. Material changes are communicated at least 30 days in advance via email and in-app notice. Your continued use of the Service after the effective date constitutes acceptance.
