Partner Agreement

This Partner Agreement (the "Agreement") governs your participation in the Awenox Partners. By submitting an application you agree to be bound by these terms.
1. The Program
The Awenox Partners (the "Program") allows approved individuals and organizations ("Partners") to refer new customers to Awenox in exchange for recurring commissions, subject to the terms below.
2. Eligibility
Partners must be at least 18 years of age, legally permitted to enter into contracts, and operate in good standing. Awenox reserves the right to approve or reject any application at its sole discretion.
3. Referrals & Attribution
Referrals are tracked via your unique partner link or coupon code. A referral is attributed to a Partner when a prospect signs up using that link within 60 days of the first visit and converts to a paid subscription.
4. Commissions
Commissions are paid monthly on every active subscription you refer, at the rate associated with your tier (20%, 30% or 35%). Full details are described in the Commission Policy.
5. Prohibited Conduct
Partners may not engage in spam, misleading advertising, trademark bidding on "Awenox" terms, self-referrals, fraudulent signups, or any activity that could harm Awenox's brand or customers. Violations result in immediate termination and forfeiture of commissions.
6. Confidentiality
Partners must keep non-public information shared by Awenox strictly confidential, including pricing concessions, roadmap, and customer lists.
7. Termination
Either party may terminate participation in the Program at any time with written notice. Commissions earned prior to termination in compliance with this Agreement remain payable.
8. Modifications
Awenox may update this Agreement at any time. Material changes will be communicated by email with at least 30 days notice. Continued participation constitutes acceptance.
9. Liability
The Program is provided "as is". Awenox's aggregate liability arising out of or related to the Program is limited to the commissions paid to the Partner in the prior 12 months.
10. Governing Law
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.
